Terms of Service

These Terms of Service ("Terms") govern your use of OpenChat, a messaging service available at https://chat.globalbr.ai and through the OpenChat mobile apps for iOS and Android (collectively, the "Service"). The Service is operated by Jacob Cole on behalf of the OpenChat project ("we", "us", "our").

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years old to use OpenChat. If you are under the age of majority in your jurisdiction, you must have permission from a parent or legal guardian.

If you are using OpenChat on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

You sign in with Google, Apple, or an email and password. You are responsible for:

4. User Content

You retain ownership of the messages, photos, and other content you post on the Service ("Your Content"). By posting Your Content, you grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, transmit, and display Your Content solely as necessary to operate the Service for you and the other participants in your conversations. This license ends when Your Content is deleted, except that we may retain backups for a reasonable period.

You are solely responsible for Your Content. We do not pre-screen content but reserve the right to remove content that violates these Terms or applicable law.

5. Other Users' Content; Reporting and Blocking

Conversations on OpenChat may include content posted by other users. You access that content at your own risk. We are not responsible for the accuracy, legality, or suitability of content posted by others.

If you encounter content that violates these Terms, you can:

We aim to review reports promptly, but we do not guarantee that any particular report will result in action. Our content decisions are at our discretion.

6. AI-Powered Features

Some conversations on OpenChat include an AI assistant (a "Bot User") powered by a third-party large language model (currently Anthropic's Claude). When you send a message in a conversation that contains a Bot User:

You may delete your account at any time from Settings → Delete my account in the mobile app. Deletion:

8. Service Availability

The Service is provided on a best-effort basis. We do not guarantee:

We may modify, suspend, or discontinue any part of the Service at any time. We will make reasonable efforts to give advance notice for material changes.

9. Open-Source Components

OpenChat is built on open-source software. Source code for parts of the Service is published at https://github.com/IdeaFlowCo/OpenChat and https://github.com/tmad4000/openchat-mobile under their respective licenses. These Terms govern your use of the hosted Service; the open-source licenses govern any independent use of the source code.

10. Intellectual Property

Other than Your Content, the Service and all original content, features, and functionality (including but not limited to design, text, images, logos, and software) are owned by us or our licensors. You may not copy, modify, distribute, sell, or lease any part of the Service.

The OpenChat name and logo are trademarks of the OpenChat project.

11. DMCA / Copyright

If you believe content on the Service infringes your copyright, send a notice to [email protected] including:

  1. A physical or electronic signature of the rights holder or authorized agent.
  2. Identification of the copyrighted work.
  3. Identification of the allegedly infringing material with enough detail to locate it.
  4. Your contact information.
  5. A statement that you have a good-faith belief that use of the material is not authorized.
  6. A statement, under penalty of perjury, that the information is accurate and that you are the rights holder or authorized to act on their behalf.

We may forward your notice to the user who posted the content. Repeated infringers will have their accounts terminated.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant the accuracy or reliability of any content, including AI-generated content.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE, OUR AFFILIATES, OR OUR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL) ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability to you for any claim arising out of or relating to these Terms or the Service is limited to one hundred U.S. dollars (USD 100) or the amount you have paid us in the prior twelve months (whichever is greater).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability, so some of the above limitations may not apply to you.

You agree to defend, indemnify, and hold harmless us and our affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) Your Content; or (c) your violation of these Terms or applicable law.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, USA, without regard to its conflict-of-laws principles.

Any dispute arising out of or relating to these Terms or the Service will be resolved through binding arbitration in San Francisco, California under the Commercial Arbitration Rules of the American Arbitration Association, except that either party may bring an individual claim in small-claims court. You and we each waive any right to a jury trial and to participate in class actions to the maximum extent permitted by law.

16. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by updating the "Last updated" date at the top, and where reasonable, by an in-app notice or email. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

17. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service at our discretion, with or without notice, for any reason including violation of these Terms.

Sections that by their nature should survive termination — including ownership, indemnification, limitations of liability, and dispute resolution — will survive.
